Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Yuvia website, mobile applications, patient portal, scheduling platform, and related technology platform (collectively, the "Platform"), as well as the limited wellness screening services made available through the Platform. The Platform is operated by Yuvia Holdings, LLC, doing business as Yuvia ("Yuvia," "we," "our," or "us"), a management services organization ("MSO") that provides non-clinical administrative, management, technology, operational, scheduling, communications, customer support, payment support, and related business services to independent Medical Practices.

Overview

"Medical Practice" means the independent professional entity (P.A., P.C., or another professional entity authorized under applicable law) that provides healthcare services through the Platform. Healthcare services are provided exclusively by the applicable independent Medical Practice and its licensed healthcare professionals. Yuvia does not provide healthcare services or practice medicine.

By creating an account, accessing or using the Platform, requesting services, completing an intake, submitting information, making a payment, electronically signing any document, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and all documents incorporated herein by reference. If you do not agree, you should not access or use the Platform or request services.

These Terms apply nationwide to the fullest extent permitted by applicable law. Additional state-specific disclosures are incorporated through the applicable State-Specific Notices. To the extent mandatory applicable law conflicts with these Terms, such law controls solely to the extent of the conflict.

1. Acceptance of terms

By accessing or using the Platform, you represent and warrant that you have the legal authority and capacity to enter into these Terms; have read, understood, and agree to comply with them and all incorporated documents; understand the limited nature of the services; understand that Yuvia and the Medical Practice perform separate and distinct functions; and will comply with all applicable laws. If you are using the Platform on behalf of another individual or entity, you represent that you have authority to bind them.

2. Eligibility

To access the Platform or request wellness screening services, you represent and warrant that you are at least eighteen (18) years of age (or otherwise legally authorized to consent); are physically located where the applicable Medical Practice and treating professional are authorized to provide services; will provide truthful, accurate, current, and complete information; will promptly update information affecting eligibility; and will comply with these Terms and applicable laws. Nothing guarantees services will be available in every jurisdiction or to every individual.

3. The Yuvia Platform

Yuvia operates the Platform and provides non-clinical administrative, management, operational, technology, scheduling, communications, customer support, payment support, and related business services that facilitate access to independent Medical Practices. Yuvia is not a medical practice and does not practice medicine; assess, diagnose, treat, monitor, or manage any medical condition; establish provider-patient relationships; prescribe medications; order testing; determine medical necessity; exercise clinical judgment; set professional fees; supervise clinicians in their clinical capacity; or control the delivery of healthcare services. Nothing on the Platform is medical advice or creates a provider-patient relationship with Yuvia.

4. Independent Medical Practices and healthcare professionals

Healthcare services are provided exclusively by the applicable independent Medical Practice and its licensed healthcare professionals. Each Medical Practice is a separate, independent legal entity solely responsible for determining whether a provider-patient relationship may be established, whether you are an appropriate candidate, exercising independent professional judgment, making all clinical decisions, complying with professional standards, maintaining medical records, and complying with healthcare laws. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between Yuvia and any Medical Practice with respect to the delivery of healthcare services.

5. Scope of wellness services

The services provided through the applicable Medical Practice are limited wellness screening services whose purpose is solely to determine whether you are an appropriate candidate for the specific wellness services offered. Unless expressly stated otherwise, the services are not intended to assess medical complaints; diagnose, treat, monitor, or manage conditions; replace primary, specialty, preventive, or emergency care; provide comprehensive evaluations; order testing; or establish an ongoing provider-patient relationship for comprehensive care. A provider-patient relationship is established only when a licensed healthcare professional has reviewed sufficient information, determined a relationship may be established under applicable law, and agrees to provide services. Creating an account, completing an intake, submitting information, or making a payment does not, by itself, establish a provider-patient relationship.

6. Telehealth services and limitations

The applicable Medical Practice may provide wellness screening services using telehealth as permitted by law, which may include synchronous, asynchronous, and secure messaging technologies. Telehealth services are limited solely to determining candidacy for the wellness services offered and are not intended to assess, diagnose, treat, or monitor conditions or replace evaluation by your primary care provider. The treating professional determines whether telehealth is appropriate, whether sufficient information has been provided, and whether you are an appropriate candidate. You acknowledge telehealth may not be appropriate for every individual or service, technical failures may occur, and you may be determined not to be an appropriate candidate. See the applicable Telehealth Informed Consent.

7. Professional judgment

All eligibility determinations are made exclusively by licensed healthcare professionals affiliated with the applicable Medical Practice, who retain sole and independent professional judgment regarding sufficiency of information, appropriateness of telehealth, candidacy, approval or denial, and referral. Yuvia does not direct, supervise, influence, or control that judgment. Nothing requires any professional to approve a requested service or limits their ability to decline when appropriate.

8. Patient responsibilities and information you provide

You agree to provide truthful, accurate, complete, and current information; promptly update information affecting eligibility; accurately identify your location; maintain appropriate technology for telehealth; review all educational materials and instructions; notify the Medical Practice of unexpected concerns; and use the Platform only for lawful purposes. Eligibility determinations depend on the accuracy and completeness of your information, and inaccurate or incomplete information may affect the ability to determine candidacy. Submission does not guarantee you will qualify. Failure to comply may result in delayed services, denial, account suspension, or termination where permitted by law.

9. Consent to wellness screening services and follow-up

By requesting services, you voluntarily request and consent to a limited wellness screening for the sole purpose of determining candidacy. You acknowledge the services are intentionally limited, are not intended to diagnose, treat, monitor, or manage conditions, and that no guarantee is made that you will qualify. You may decline or withdraw consent before services are provided. If a wellness service is provided, the Medical Practice may offer directly related follow-up services consistent with applicable law. You remain responsible for obtaining routine, preventive, emergency, and other medical care from your primary care provider or other qualified professionals.

10. Medical emergencies

Neither Yuvia nor the applicable Medical Practice provides emergency medical services through the Platform. The Platform is not intended for:

  • Medical emergencies.
  • Urgent medical conditions.
  • Mental health crises.
  • Situations requiring immediate medical attention.
  • Conditions requiring emergency diagnosis or treatment.

You are responsible for knowing how to access appropriate local medical care, including urgent care and emergency medical services, in the location where you are physically located when using the Platform or receiving services.

If you believe you are experiencing a medical emergency, call 911 immediately or proceed to the nearest emergency department.

If, during a wellness screening, the treating healthcare professional believes emergency evaluation or in-person medical care is appropriate, you agree to promptly follow those recommendations.

Nothing in these Terms should be interpreted as delaying, discouraging, or replacing emergency medical evaluation or treatment.

11. Your account

Certain features require a user account. You agree to provide accurate registration information; maintain and update it; keep your credentials confidential; notify Yuvia of unauthorized access; and accept responsibility for activity under your account unless prohibited by law. Yuvia may suspend, restrict, or terminate access if it reasonably believes your account has been compromised, contains fraudulent information, is used in violation of these Terms, or where necessary to protect the Platform or as permitted by law.

Your access to the Platform is personal to you. You represent and warrant that all identifying information you provide — including your legal name, date of birth, and contact and shipping information — is your own, accurate, current, and truthful, and that you are the person requesting services. You may not create more than one account, share your credentials, use another person's identity or account, or request services on behalf of another person. Yuvia and the applicable Medical Practice rely on the accuracy and truthfulness of the information you provide and do not independently verify all of it. You are solely responsible for the accuracy of your information, and neither Yuvia nor the applicable Medical Practice is responsible for any consequences arising from information that is inaccurate, incomplete, false, or misrepresented. Providing false identifying information, impersonating another person, or misrepresenting your identity or eligibility violates these Terms and may result in denial of services, cancellation without refund, account termination, and referral to authorities where warranted.

12. Payment and self-pay services

The wellness services are self-pay and generally are not payable or reimbursable by insurance, Medicare, Medicaid, or other third-party payers. Unless otherwise prohibited by law or agreed in writing, you are solely responsible for all charges. Fees are established solely by the applicable Medical Practice; payment may be required before, at the time of, or after services depending on the terms presented; Yuvia may provide payment-processing support on the Medical Practice's behalf, but fees remain payable to the Medical Practice. Current pricing, subscription terms, cancellation, and refund policies are disclosed before services are provided and may be updated in accordance with applicable law.

13. Recurring medication shipments

If you enroll in recurring medication shipments, scheduled shipments may continue based on your representation that there have been no significant changes to your health, medical history, medications, allergies, or symptoms that may affect your eligibility for the limited wellness prescribing services or the safety or appropriateness of any prescribed medication. You agree to promptly notify the applicable Medical Practice of any such changes before any scheduled shipment.

If you report a significant change, or if the Medical Practice otherwise becomes aware of one, your treating healthcare professional may require additional information or an additional clinical evaluation related to the limited wellness prescribing services before any further medication is prescribed. Your treating healthcare professional retains sole and independent professional judgment regarding whether prescribing remains clinically appropriate, and no recurring shipment is guaranteed.

Recurring medication shipments remain subject to continued clinical appropriateness, a valid prescription when required, medication availability, and applicable law. Nothing in a recurring shipment arrangement guarantees that a prescription will be issued, renewed, or continued or that any particular medication will be dispensed or shipped.

14. Third-party service providers

The Platform may use independent third-party providers (payment processors, cloud providers, communications, identity verification, pharmacies, shipping carriers, analytics, and others). The applicable Medical Practice may use independent pharmacies or other vendors to dispense products or prescriptions when determined appropriate. These providers operate independently and are responsible for the products and services they provide. Yuvia does not control their professional judgment, operations, products, or services except as required by law or contract. Use of a third-party provider does not create a provider-patient relationship unless established directly with that third party.

By creating an account and agreeing to these Terms, you request and authorize that any prescription issued to you be dispensed and shipped by Yuvia's contracted compounding pharmacies, currently CD Pharmacy LLC, a Utah limited liability company doing business as Red Rock Pharmacy and Strive Pharmacy, and you agree that your prescription may be filled by or transferred between these pharmacies on your behalf. You acknowledge that you may contact the dispensing pharmacy directly at its toll-free number for any pharmacy consultation. Dispensing through these pharmacies is part of the Yuvia service and is not separately optional; if you do not agree to have your prescription dispensed by them, do not use the Platform. These pharmacies are third-party beneficiaries of these Terms.

15. Communications

By using the Platform, you consent to receive communications electronically (email, secure messaging, patient portal, telephone, text where authorized, push notifications, or other permitted methods), including appointment confirmations, requests for information, eligibility determinations, administrative and billing notices, security notifications, follow-up communications, and updates. Electronic communications are not for emergencies. You are responsible for maintaining accurate contact information; standard messaging or data charges may apply. Where required by law, you may withdraw consent to certain communications, which may affect available features.

16. Privacy

Yuvia and the applicable Medical Practice have separate legal responsibilities for information obtained through the Platform. Yuvia collects and processes administrative, account, technical, scheduling, payment, communication, and other non-clinical information as described in the Yuvia Privacy Policy. The applicable Medical Practice maintains medical records and PHI in accordance with HIPAA and its Notice of Privacy Practices. To facilitate the Platform, Yuvia may process certain information, including PHI, solely as permitted by law, any Business Associate Agreement, and agreements with the Medical Practice. Nothing transfers the Medical Practice's responsibilities as the healthcare provider or HIPAA Covered Entity to Yuvia.

17. Intellectual property

The Platform and all content made available through it (the "Platform Content") are owned by or licensed to Yuvia and protected by intellectual property laws. Subject to these Terms, Yuvia grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, lawful, non-commercial use. Except as permitted, you may not copy, reproduce, modify, distribute, sell, or exploit the Platform Content; reverse engineer the Platform; remove proprietary notices; use automated means to scrape data; or infringe the rights of Yuvia or any third party. Nothing transfers ownership of intellectual property to you.

18. Disclaimers

The Platform facilitates access to limited wellness screening services offered by independent Medical Practices. Yuvia is not a healthcare provider and does not provide medical advice, diagnosis, treatment, or care. Neither Yuvia nor the applicable Medical Practice guarantees that you will qualify for any service, that any service or product will be recommended or provided, availability in every jurisdiction, or any specific outcome. Educational and informational materials are provided for general informational purposes only and are not intended to diagnose, treat, cure, or prevent any condition or to replace evaluation by a qualified professional. To the fullest extent permitted by law, the Platform and Platform Content are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. Nothing limits warranties that cannot be disclaimed under law.

19. Limitation of liability

To the fullest extent permitted by law, Yuvia and its affiliates, officers, directors, members, employees, contractors, licensors, vendors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages arising out of or relating to your use of or inability to use the Platform, technical failures, third-party providers, pharmacies, shipping delays, products or services provided by third parties, decisions made by an independent Medical Practice, or any other matter relating to these Terms or the Platform. Yuvia's aggregate liability shall not exceed the total amount, if any, paid directly to Yuvia by you during the twelve (12) months preceding the event giving rise to the claim. Nothing limits liability that cannot legally be limited.

20. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Yuvia, the applicable Medical Practice, and their respective affiliates and personnel from any claims, liabilities, damages, losses, costs, and reasonable attorneys' fees arising out of your violation of these Terms, misuse of the Platform, information you provide, violation of law, infringement of third-party rights, or negligent, fraudulent, or intentional misconduct. This obligation does not apply to the extent prohibited by law.

21. Dispute resolution; arbitration; class action waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT, TO HAVE A JURY TRIAL, AND TO PARTICIPATE IN A CLASS ACTION.

Informal resolution. Before initiating arbitration or, where permitted, filing any legal action, the parties agree to attempt to resolve any Dispute informally through written notice and good-faith discussions for at least thirty (30) days, except for claims seeking emergency injunctive relief or matters in small claims court.

Agreement to arbitrate. To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, the services, or your relationship with Yuvia and/or the applicable Medical Practice (a "Dispute") shall be resolved exclusively through final and binding arbitration on an individual basis, governed by the Federal Arbitration Act and administered by the American Arbitration Association under its Consumer Arbitration Rules before a single neutral arbitrator.

Individual basis; class action waiver. All Disputes shall be resolved solely on an individual basis. Neither you, Yuvia, nor the applicable Medical Practice may participate as a class representative or member, private attorney general, or in any class, collective, consolidated, or representative proceeding, except to the extent expressly required by law.

Jury trial waiver. If a Dispute proceeds in court rather than arbitration, each party knowingly and voluntarily waives, to the fullest extent permitted by law, any right to a trial by jury.

Exceptions; opt-out. Nothing prevents an individual small-claims action, injunctive relief to protect intellectual property or confidential information, or claims that must be brought before a governmental agency. You may opt out of this arbitration agreement by providing written notice to Yuvia within thirty (30) days after first accepting these Terms; opting out does not affect any other provision.

Fees, venue, survival, severability. Arbitration fees are governed by the applicable AAA rules and law. If a Dispute is determined not subject to arbitration, it shall be brought exclusively in the state or federal courts in Palm Beach County, Florida, unless applicable law requires otherwise. This Section survives termination, and if any portion is unenforceable as to a particular claim, the remainder remains in effect. Nothing waives rights that cannot legally be waived.

22. Suspension and termination

Yuvia may suspend, restrict, or terminate your access, with or without notice where permitted by law, if you violate these Terms, provide false information, engage in fraudulent or unlawful activity, or where necessary to protect the Platform. The applicable Medical Practice may independently decline, suspend, or terminate a provider-patient relationship in accordance with law and professional standards. Termination does not affect amounts owed for prior services, obligations that survive termination, or rights relating to access to medical records as required by law.

23. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, except to the extent mandatory federal law or the mandatory laws of another jurisdiction apply to services provided to you. Nothing waives or limits rights that cannot be waived under applicable law.

24. State-specific disclosures

Certain states require additional disclosures, telehealth notices, informed consent requirements, privacy rights, consumer protections, prescribing notices, or complaint procedures. Those requirements are contained in the State-Specific Notices and are incorporated into these Terms by reference. To the extent a mandatory state-specific disclosure conflicts with these Terms, the applicable state-specific disclosure controls solely with respect to services provided in that jurisdiction.

25. Miscellaneous

Force majeure. Neither Yuvia nor the applicable Medical Practice is liable for delays or failures resulting from causes beyond their reasonable control.

Severability. If any provision is invalid or unenforceable, the remaining provisions remain in full force.

Entire agreement. These Terms, together with the Yuvia Privacy Policy, the applicable Medical Practice's Notice of Privacy Practices, the applicable Telehealth Consent, the State-Specific Notices, and any additional documents incorporated by reference, constitute the entire agreement.

Assignment. You may not assign your rights or obligations without Yuvia's prior written consent. Yuvia may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, or by operation of law.

26. Modifications to these terms

Yuvia may revise these Terms from time to time. Updated Terms become effective upon posting to the Platform or as otherwise communicated, unless a different effective date is required by law. The "Last updated" date reflects the most recent revision. Your continued use after revised Terms become effective constitutes acceptance; if you do not agree, you must discontinue use.

27. Electronic acceptance and electronic signatures

By creating an account, clicking "I Agree" or a similar button, completing an intake, requesting services, making a payment, electronically signing any document, or otherwise using the Platform, you agree that your electronic acceptance and any electronic signature constitute your legal agreement to these Terms and have the same legal force and effect as a handwritten signature to the fullest extent permitted by law. Electronic records satisfy any legal requirement that a document be in writing or signed.

28. Feedback

If you voluntarily provide feedback, you agree it is provided without expectation of compensation and that Yuvia may use it for any lawful purpose without obligation of confidentiality (unless required by law) or obligation to use it. You represent that you have the right to provide the feedback and that it does not infringe third-party rights. Nothing grants Yuvia ownership of your PHI or medical records.

Questions regarding these Terms, the Platform, your account, or Yuvia's administrative services may be directed to Yuvia. Questions regarding healthcare services, clinical decisions, medical records, PHI, or your care should be directed to the applicable Medical Practice that provided your wellness screening services.
